Boards of Directors
The companies in the NB Power Group share a common Chair, President and CEO and common directors. The Boards of Directors are responsible for directing the affairs of each of the Corporations consistent with the Business Corporations Act and the Electricity Act.
The NB Power Group has a joint Audit Committee for the holding company and all of the operating companies. Each Corporation also has an Environment, Health and Safety Committee as well as a Human Resources, Governance and Nominating Committee. In addition to these committees,
NB Power Nuclear Corporation has a Nuclear Oversight Committee.

Ed Barrett, Chairman of the Board of Directors
Mr. Barrett is the chair and co-chief executive officer of Barrett Corp., an international management company. His former posts have included chief executive officer of Barrett Marketing Group, a North American distribution company, and chief executive officer of Atlantic Rentals Ltd. He holds a masters degree in Public Administration.
Norman Betts
Dr. Betts is an associate professor, Faculty of Business Administration, at the University of New Brunswick and is a Fellow of the New Brunswick Institute of Chartered Accountants (FCA). He serves on the boards of several publicly traded corporations including Starfield Resources Inc., Tanzanian Royalty Exploration Inc., Tembec Inc., Adex Mining Inc., Chairman Capital Inc and Sheltered Oak Resources Inc. He also serves on the board of Export Development Canada, is co-chair of the Board of Trustees of the UNB Pension Plan for Academic Employees and is a director of the Nature Conservancy of Canada for the Atlantic region.
Normand Caissie
Mr. Caissie is the owner and CEO of Imperial Manufacturing Group, which manufactures metal, plastic and chemical products. He is responsible for the financial and strategic direction of nine independent companies, with facilities both in Canada and the United States. Mr. Caissie is also involved in commercial real estate in strategic locations in Canada.
Bernard Cyr
Mr. Cyr is owner of Cyr Holdings Inc. (which operates hotels, restaurants and commercial properties). He is also owner of the Dooly's group and a director of the National Bank of Canada and the Dr. Georges-L. Dumont Hospital Foundation.
Eloi Duguay
Mr. Duguay's career has spanned for 37 years between private and public sectors. He retired in 2007 as deputy minister of Business New Brunswick and was prior to that the president of Pattison Sign Group. He is past president and co-owner of Imperial Signs, a former city administrator for the City of Edmundston. He started his career as a civil engineer with the New Brunswick Department of Transportation. Mr. Duguay has been a member of many boards of directors. He gained experience as a director of NB Power between October 2004 and December 2005 and has since been appointed to NB Power's boards effective October 25, 2007. Mr. Duguay has been an active member of numerous professional and business associations. He was president of the New Brunswick Economic Council, and the first francophone president of the New Brunswick Association of Professional Engineers.
Jane Fritz
Dr. Fritz is a professor of computer science at the University of New Brunswick (UNB) whose administrative appointments have included dean, associate VP academic, and interim VP academic. She currently serves as chair of Service New Brunswick's Board Development Committee. Her past posts include chair of Enterprise Fredericton's board of directors and membership on several other boards.
Louis LaPierre
Dr. LaPierre is professor emeritus in biology at the Université de Moncton and past K.C. Irving Chair in Sustainable Development. He has dedicated the past three decades, working with a variety of groups, to protecting the environment. He was a member of the National High Level Nuclear Waste Disposal Panel, the chair of the Bruce New Build Environmental Assessment Panel, and chair of the New Brunswick Sustainable Development Strategy.
John Mallory
Mr. Mallory is deputy minister of the Department of Finance and secretary of the Board Management, the provincial treasury board. He is a certified corporate director and a member of the Institute of Corporate Directors, having graduated from its Director’s Education Program.
Shirley Mears
Ms. Mears is a board director, chair of the audit committee and serves on the governance, human resources and nominating committee of Starfield Resources Inc. Her previous posts include vice president Finance of Edgewater Computer Systems Inc., senior vice president and Chief Financial Officer of Hydro Ottawa Holding Inc., advisory board director and served on the audit committee of Hydro Ottawa Holding Inc., vice president and Treasurer of Zarlink Semiconductor Inc, vice president and Treasurer of Mitel Corporation, and vice president, Human Resources Canada and Corporate Taxation.
Lise Ouellette
Ms. Ouellette is the executive director of the Association francophone des municipalities du Nouveau-Brunswick, a position she has held since 2004. Prior to this, she worked as research and development coordinator at the Université de Moncton - Shippagan campus. She holds a masters degree in sociology from Université de Montréal.
Robert (Bob) Youden
Mr. Youden is the senior vice-president of Stantec. Previously the chief executive officer of Jacques Whitford from 2003 to 2008, he led the sale of Jacques Whitford to Stantec, including the integration of operations. He received his commerce degree from Dalhousie University and is a chartered accountant.
Gaëtan Thomas, President and CEO
Mr. Thomas was appointed President and CEO of New Brunswick Power Corporation in January 2010. Prior to his current position, Mr. Thomas was the Vice President of NB Power Nuclear Corporation which he held since 2005. Previous to this, Mr. Thomas held the position of Vice President, NB Power Distribution and Customer Service. Gaetan has a proven track record of close to 30 years with operations experience in many areas of our business including Generation, Transmission, Distribution and Customer Service.
